Service Terms

Terms for NorthQuest cold email and outbound services.

1. Scope of Service

NorthQuest provides cold email and outbound support for B2B companies. Services may include targeting, lead sourcing, domain and inbox setup, deliverability setup, copywriting, campaign execution, testing, reporting, and basic reply handling.

2. Service Outcome

NorthQuest works to generate qualified sales conversations through outbound campaigns. We do not guarantee revenue, closed deals, reply rates, inbox placement, or a specific number of meetings unless agreed in writing.

3. Qualified Call Definition

A qualified call means a scheduled sales conversation with a prospect that reasonably matches the agreed ideal customer profile and shows a relevant business need. Final qualification may depend on call attendance and call quality.

4. Pricing and Payment

Pricing is agreed before the engagement begins and may include a monthly retainer, performance-based fees, or both. Invoices are due according to the payment terms stated on the invoice or agreement.

5. Client Responsibilities

The client is responsible for providing accurate business information, offer details, target market input, approval feedback, booking links, and timely responses. The client is responsible for handling sales calls and closing deals.

6. Tools and Infrastructure

NorthQuest may use third-party tools for lead sourcing, email sending, domains, inboxes, scheduling, analytics, and campaign management. Unless otherwise agreed in writing, campaign infrastructure, systems, and processes remain the property of NorthQuest. Clients may receive access to reporting or agreed deliverables.

7. Compliance

NorthQuest aims to follow reasonable B2B outreach practices, including opt-out handling where applicable. The client is responsible for ensuring that its offer, claims, website, and sales process comply with applicable laws and platform rules.

8. Deliverability and Platform Risk

Outbound email involves inherent risks, including spam filtering, domain reputation impact, account restrictions, or suspension by third-party platforms. NorthQuest follows reasonable best practices but does not guarantee deliverability outcomes or protection from platform actions.

9. Approvals

The client may be asked to approve messaging, targeting, and campaign materials before launch. Delays in approvals may delay campaign timelines.

10. Cancellation

Either party may cancel according to the notice period stated in the applicable agreement or invoice. Unless otherwise agreed, fees already paid are non-refundable and the client remains responsible for amounts due through the notice period.

11. Confidentiality

Both parties agree to keep non-public business, technical, financial, and customer information confidential and to use such information only for the purpose of the engagement.

12. Limitation of Liability

To the fullest extent permitted by law, NorthQuest is not liable for indirect, incidental, special, consequential, or lost-profit damages. Total liability is limited to the amount paid to NorthQuest in the one month before the claim.

13. No Employment or Agency Relationship

NorthQuest operates as an independent service provider. Nothing in these Terms creates an employment, partnership, joint venture, or legal agency relationship.

14. Updates

NorthQuest may update these Terms from time to time. The updated version will be posted on this page.
